Terms & Conditions

  1. General

    1. Anna Voloshyna Photography (referred to as "we" and "us") operates under these general terms and conditions.
    2. "Client" refers to any legal entity or natural person with whom we engage in an agreement or to whom we address our offers.
    3. "Services" and "activities" encompass all services, activities, advice, and product deliveries provided to or carried out for the Client in accordance with these terms and conditions.
  1. Applicability

    1. These general terms and conditions apply to all our offers, agreements, deliveries, and work performed by us, including future legal relationships.
    2. Deviations or additions to these terms and conditions are binding only if agreed upon in writing.
    3. We reject any general terms and conditions and/or other conditions used by the Client.
  1. Offer

    1. Our written offers are valid for 14 days, and other offers are non-binding.
    2. Any additional agreements, changes, or commitments after the offer's acceptance constitute a new offer.
  1. Establishment

    1. The agreement is established upon our acceptance of the assignment, commencement of the assignment, or the Client's written acceptance of our offer.
    2. In case we are unable to complete the assignment after test recordings, we reserve the right to return the assignment, absolving us of liability for any resulting delay or damages to the Client.
    3. Subsequent agreements are binding only if confirmed in writing by both parties.
  1. Price

    1. Our quotations and rates are subject to change unless otherwise stated.
    2. Quoted prices are net prices and do not include applicable taxes or charges unless agreed otherwise in writing.
    3. Prices are based on normal circumstances and working hours unless expressly stated otherwise.
    4. We reserve the right to adjust agreed prices and rates with written notification, allowing the Client to terminate the agreement if not in agreement with the adjustments.
    5. Additional work is charged separately once the amount is determined.
    6. Additional costs resulting from Client-requested changes to the agreement are borne by the Client.
    7. Costs incurred due to the Client's failure to facilitate agreement execution will be charged to the Client.
  1. Execution of Assignment

    1. We perform our work to the best of our ability and may engage third parties if necessary.
    2. Client-provided information must be accurate for assignment execution.
    3. Deadlines are approximate, and delays do not warrant compensation or dissolution of the agreement unless agreed otherwise in writing.
    4. Non-attributable shortcomings may lead to deadline extensions or agreement dissolution.
    5. Non-attributable shortcomings include circumstances beyond our control, making agreement fulfillment unreasonable.
  1. Payment

    1. Invoicing occurs post-service at agreed rates, with payment due within 30 days of the invoice date.
    2. Settlement with any claims against us is excluded unless confirmed in writing by us.
    3. Late payments incur interest and collection costs.
    4. Payments are applied to costs, interest, and principal in that order.
    5. We may require security until full payment is received.
  1. Complaints

    1. Clients must report any work discrepancies or invoice issues within ten working days.
  1. Liability

    1. We are not liable for damages unless due to intent or gross negligence.
    2. Indirect damages are excluded.
    3. If liable, our liability is limited to the invoice amount for the relevant work or services.
    4. Clients indemnify us against third-party claims.
    5. Products supplied by the client are insured up to a specified value.
  1. Suspension, Termination, and Dissolution

    1. We may suspend or terminate the agreement if the Client fails to fulfill obligations or if circumstances suggest non-compliance.
    2. Agreements for an indefinite period may be terminated with written notice after proper consultation.
    3. We may terminate the agreement if the Client faces bankruptcy, liquidation, or non-compliance with payment obligations.
    4. Clients can terminate only for our shortcomings after written notice and reasonable opportunity for rectification.
  1. Intellectual Property Rights/Confidentiality

    1. Clients must respect copyright and license rights and refrain from disclosing working methods or data to third parties.
    2. After delivery and payment, Clients become joint owners of supplied visual material.
  1. Privacy

    1. Client-provided personal data will be processed in accordance with applicable privacy legislation.
    2. Clients indemnify us against claims related to data processing.
  1. Other Provisions

    1. Data regarding completed work will be available to the Client for a specified period.
    2. Agreements may be transferred to third parties.
  1. Disputes and Applicable Law

    1. Dutch law governs all agreements, and disputes will be settled exclusively by the competent court in The Hague.
